Software End-Users License Agreement

This License Agreement ( Agreement) between you (either an individual or single legal entity) and Easy Teaching Ltd.(Easy Teaching) relates to the software program Lessonpad (Software) together with all associated printed materials, ’on-line’ or electronic documentation, media, manuals, drivers and samples including any future updates and supplements.

Please read this agreement carefully.

By installation, downloading, accessing, or otherwise using the software you agree to be bound by the terms and conditions of this agreement.

IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS OF THIS LICENSE  DO NOT INSTALL AND/OR USE IT. You are not authorised to use the software.

Ownership

The software is owned and copyrighted by Easy Teaching Ltd. Your license confers no title or ownership in the software and should not be construed as a sale of any right in the software.

The software product is protected by Copyright Laws and International Copyright Treaties, as well as other Intellectual Property Laws and Treaties.

The Software product is licensed, not sold subject to the terms and restrictions of this License.

Grant of License

Easy Teaching hereby grants you a licensee, a personal, non-exclusive, non-transferable license (a “License”) to use the Software Product “LessonPad” including any updates thereto, accompanying documentation etc. according to the terms set out below in this agreement.

Not withstanding anything else in this License, the grant of license for the Trial Period described herein allows for one single period of consecutive days from installation at which time such license terminates and may not be renewed without subscription to purchase the Full License.

Lessonpad Licensing

Free User license: Allows the use of lessonpad on a compatible PC and tablet or interactive whiteboard. No direct support is available. See website for help and support.

Corporate License: Allows the use of lessonpad on a fixed number of compatible PCs and tablets or interactive whiteboards. Support for the number of installations is available as agreed in the support contract made between the organisation and Easy Teaching Ltd. See website for details.

This license is not transferable to any other product, company entity or individual, unless given through permission of the license.

Any rights not expressly granted to you are reserved.

Transfer

This Agreement licenses the software to you only under the terms of your license and may not be transferred to any other party either on a temporary or permanent basis. In no case may you lend, gift, transfer, rent, lease, hire, sell or otherwise dispose of the software other than as may be provided for in this agreement.

Prohibitions

You may not: modify, prepare derivative works from, translate, reverse engineer, decompile, disassemble or otherwise derive source code from the software.

YOU MAY NOT DISTRIBUTE THE SOFTWARE PRODUCT without the prior written consent of Easy Teaching. You may not copy the accompanying documentation, rent, transfer, disclose, make available or grant any rights in the software product in any form to any person without the prior written consent of Easy Teaching.

You may not use the product in any manner that infringes the intellectual property or other rights of another party; or use the software to provide on-line or other database services to another person except as specified in the licence agreement.

Distribution

Permission to distribute the software in any form is within the terms of the license agreement entered into. The software is not transferable, assignable, saleable, or franchisable. Distribution of the software is restricted to the domains lessonpad.co.uk,  lessonpad.com and those authorised to do so by Easy Teaching Ltd. Applications for distribution should be made in writing through the website.

Termination of License

Any unauthorised use shall result in immediate and automatic termination of this license. Without prejudice to any other rights, Easy Teaching may terminate this agreement if Licensee breaches any of its terms and conditions. Upon termination, Licensee shall destroy all copies of the software licensed to them.

Warranty and Liability

Any use of this software is at your own risk. To the maximum extent permitted by applicable law Easy Teaching and its suppliers disclaim all warranties and conditions, either expressed or implied, including, but not limited to, implied warranties of merchantability, or fitness for a particular purpose, title and non-infringement, with regards to the software product and the provision of or failure to provide support services. Licensee shall be solely responsible for the selection, use, efficiency and suitability of the software product and Easy Teaching shall have no liability thereof.

Easy Teaching shall have no liability for, or obligation to indemnify licensee regarding actions alleging the infringement of proprietary rights by the software product. Easy Teaching does not warranty that the operation of the software will be uninterrupted or error free or that the software product will meet licensee’s specific requirements.

Limitation of Liability

In no event will Easy Teaching or its suppliers be liable for loss of data, corruption, lost profits, cost of cover, or other special, incidental punitive, consequential, or indirect damages arising from the use of the software product (including any accompanying documentation), however caused and on any theory of liability. This limitation will apply even if Easy Teaching or an authorised distributor has advised of the possibility of such damage. In no event will Easy Teaching’s liability exceed the amount paid by the Licensee for the software product or £10 which ever is the greater.

Licensee acknowledges that the amount paid by the licensee for the software reflects this allocation of risk. None of the above affects the statutory rights of the licensee.

Confidentiality

You acknowledge that the software embodies confidential information of Easy Teaching and/or its suppliers and licensors. To the extent you have access to any such information, you agree to use such information only for the authorised use of the Easy Teaching product. You agree, also, not to disclose such confidential information to any other party or to use at least the same degree of care to maintain the confidential nature of such information as you use to maintain the confidentiality of your own confidential information.

Support Services

Easy Teaching may provide you with support service related to the software at its discretion. Use of support services, if any, is governed by the Easy Teaching policies and programs described in the users guide, on-line documentation and /or other Easy Teaching materials as modified by Easy Teaching from time to time.
